Terms of Service for SOMOS System

Article 1 (Purpose)

These Terms of Use set forth the rights, obligations, and responsibilities
of Samsung Electronics

Co., Ltd. (hereinafter referred to

as “Samsung”) and the User with respect to the use of quality and
manufacturing management services

(hereinafter collectively

referred to as “Service”) provided in the SOMOS system operated by Samsung.

Article 2 (Definition)

1. “SOMOS” means a Outsourcing Quality Management System operated by
   Samsung. SOMOS provides Single

   Sign-on

   
   

   function and related services

   
   

2. “User” means a Member or who receives the Services provided by SOMOS
   in accordance with these

   Terms of Use by
   accessing SOMOS.

   
   

3. “Member” refers to an individual who has registered him/herself as a
   Member by providing his/her

   personal information to

   
   

   SOMOS and who is authorized by Samsung to receive SOMOS information and use
   the Service provided by

   SOMOS.

   
   

4. Member ID (hereinafter referred to as "ID") means the combination of
   letters and/or numbers

   created by Member and

   authorized by Samsung for the purpose of identification of the Member and
   Member's use of Service.

   
   

5. “Password” refers to a combination of letters and/or numbers created
   by Member to verify that a

   Member is identical to the

   
   

   Member designated with a specific ID and to protect personal information of
   the Member.

   
   

6. “Posting” refers to any signs, letters, voice, sound or video posted
   by User with relation to

the use of Service.

Article 3 (Amendment of the Terms of Use)

1. Samsung will post these Terms of Use on the initial page of the SOMOS
   for their easy

   identification by the User and may at

   
   

   any time amend, revise, delete or otherwise alter the Terms of Use without
   notification to the

   User.

   
   

2. In case the User does not consent to the application of the amended Terms
   of Use, the provisions

of such amendment shall not

be applied, and the User should cease using the Service immediately and
delete

Article 4 (Provision and Change of Service)

1. SOMOS shall perform the following operations:

   
   

   1. New application of ID

   2. Renewal of ID

      
      

   3. Quality and Manufacturing Management functions

      
      

   4. Other functions performed in SOMOS

      
      

2. Samsung may change the Service at its sole discretion and shall not be liable for any damages

   
   

3. Even if you are not the person whose work has changed or retired,
   if the privacy controller's work has changed or is retired,
   you should immediately contact to SOMOS system administrator to adjust your(his) authority.

is a change in Service, Samsung will notify of such change by providing a
manual using the Help

Desk Menu of the SOMOS
system.

Article 5 (Suspension of Service)

1. Samsung may temporarily or permanently suspend provision of the Service
   without any prior

   notice.

   
   

2. Samsung shall not be liable for the any suspension of the Service.

   
   

3. If the service becomes permanently unavailable for any reason, the Company
   may notify the user

in the manner specified in
Article 8.

Article 6 (Application for Membership)

1. SOMOS receives and accepts an application for membership only through
   the SOMOS system.

   
   

2. Any user who applies for membership (the “Applicant”) as a Member must
   be approved by Samsung,

   who may at its sole

   
   

   discretion reject any Applicant.;

   
   

3. The Applicant’s membership is in effect when Samsung authorizes the
   Applicant as a Member.

Article 7 (Member Withdrawal and Disqualification)

1. Samsung may, at its sole discretion, restrict or revoke membership.

   
   

2. Members may request withdrawal from the Company at any time, and the
   Company will proceed with

the withdrawal process

upon receipt of the request.

Article 8 (Notice to Member)

1. Any notice to Members by Samsung may be sent to the e-mail address
   provided by Members in

   her/his membership
   applications.

   
   

2. Samsung may substitute individual notice by posting pop-up notice for
   more than one week.

Article 9 (Protection of Personal Information)

1. Samsung will use its best efforts to securely handle each Member’s
   personal information.

   
   

2. Please refer to the site initial screen for Samsungs personal information
   processing policy.

Article 10 (Obligations of the Member Regarding ID and Password)

1. The Member shall be responsible management of his/her Member ID and
   Password.

   
   

2. The Member shall not permit a third party to use his/her ID and password.

   
   

3. In case the Member discovers that his/her ID and Password have been
   stolen or used illegally by

a third party, he/she shall

immediately report such fact to Samsung and follow Samsung's instructions,
if any.

Article 11 (Obligations of the User)

The User shall not commit the following acts :

1. Falsified registration in application or change

   
   

2. Change of any information posted on SOMOS by Samsung or other Users

   
   

3. Transmission or posting of information (such as computer program, etc.)
   other than those

   specified by Samsung or SOMOS

   
   

4. Infringement of intellectual property rights, such as copyrights, of
   Samsung, SOMOS, or a third

   party

5. Any act defamatory to Samsung, SOMOS or a third party or disruptive to
   operations of Samsung,

   SOMOS, or a third party

   
   

6. Display or appropriation of information in violation of security policies
   of Samsung or SOMOS

   
   

7. Display or posting on SOMOS of indecent or violent message, video, or
   voice or other information

disrupting public order

Article 12 (Ownership and Limitation of Intellectual Property Rights)

1. The copyright or all other intellectual property rights to any work in
   SOMOS shall be owned by

   Samsung.

   
   

2. The User shall neither use the information obtained during the use of
   the Service nor cause a

   third party to use such information

   
   

   for commercial purposes by means of reproduction, transmission, publication,
   distribution,

   broadcasting, or other methods
   without prior approval from Samsung.

   
   

3. Any information provided by the User into QOMS shall be considered to be
   the property of

Samsung.

Article 14 (Limitation of Liability)

1. Samsung shall have no liability for User’s failure to incur benefit
   expected for using Service

   or any losses arising out of use of

   material acquired from Service.

   
   

2. Samsung provides various links “AS IS” and “AS AVAILABLE” for User’s
   benefit. Samsung neither

   warrants such links’

   
   

   credibility and/or correctness, nor is liable for any losses arising out of
   such links.

3. User shall be liable for credibility and/or correctness of any information
   posted on SOMOS by

   the User, and Samsung shall not

   
   

   be liable for any claims from User or third party arising out of such
   information.

   
   

4. Samsung shall have no liability for losses arising out of misconduct or
   negligence of User

and/or third party.

Article 15 (Dispute Resolution)

1. These Terms of Use shall be governed by and construed in accordance with
the laws of the

Republic of Korea (excluding

conflict of laws provisions which may direct the application of another
jurisdiction’s laws). The

courts of the Republic of Korea

shall have exclusive jurisdiction to settle all disputes, controversies or
claims between the

Samsung and Users arising out of or in

connection with these Terms of Use (including its existence, validity or
termination).

Addendum

1. These Terms of Use will be effective from 15.SEP, 2019.
